1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Docworks ("we", "us", "our"), an Australian company based in Shepparton, Victoria. By accessing or using OnRounds, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the platform.
OnRounds is provided to healthcare organisations under subscription agreements. Your use of OnRounds is also subject to any agreement between Docworks and your employing or contracting organisation. In the event of a conflict between these Terms and your organisation's agreement with us, the organisational agreement prevails.
2. Description of Service
OnRounds is a healthcare shift management and clinical communication platform. It enables clinical teams to communicate through a role-based messaging system, manage shift handovers, and coordinate care delivery. The platform is delivered as a Progressive Web App (PWA) accessible through standard web browsers on desktop, iOS, and Android devices.
3. Accounts and Authentication
Access to OnRounds is authenticated through Microsoft Entra ID (formerly Azure Active Directory), managed by your organisation's IT administrators. You do not create a separate account with Docworks. Your access credentials, permissions, and account lifecycle are controlled by your organisation.
You are responsible for maintaining the security of your authentication credentials and for all activity that occurs under your account. You must notify your organisation's IT team immediately if you become aware of any unauthorised use of your account.
4. Role-Based Communication
OnRounds operates on a role-based communication model. Messages are addressed to clinical roles (such as Registrar, Consultant, or Nurse Unit Manager) rather than to individuals. This means:
- When you clock into a role, you receive messages addressed to that role, including messages sent before your shift began.
- When you clock off, unread messages for your role may be transferred to the next person who clocks into that role.
- Only one person may occupy a given role within a team at any time.
- A Shift Coordinator within your team may manage clock-in conflicts.
By using OnRounds, you acknowledge and consent to this role-based model of communication, including the transfer of messages between individuals occupying the same role across shifts.
5. Acceptable Use
You agree to use OnRounds only for its intended purpose: clinical communication, shift management, and care coordination within your healthcare organisation. You must not:
- Use the platform for any purpose unrelated to your clinical or professional duties
- Share access credentials or allow unauthorised persons to use your account
- Attempt to access data, messages, or roles that you are not authorised to access
- Transmit malicious software, spam, or harmful content through the platform
- Use the platform in any way that violates applicable Australian laws or regulations
- Attempt to reverse-engineer, decompile, or extract the source code of the platform
- Interfere with or disrupt the integrity, performance, or security of the platform
- Use the platform to harass, bully, or intimidate other users
6. Message Content and Retention
You are solely responsible for the content of messages you send through OnRounds. You must ensure that all communications comply with your organisation's policies, relevant clinical governance requirements, and applicable privacy legislation.
All messages, images, and handover notes sent through OnRounds are retained indefinitely for clinical audit and compliance purposes. Content is soft-deleted only — it may be hidden from the user interface but is preserved in the underlying database. You cannot permanently delete message history. This retention policy exists to support the clinical record-keeping obligations inherent in healthcare communications.
7. Intellectual Property
The OnRounds platform, including its design, code, features, documentation, and branding, is the intellectual property of Docworks. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose during the term of your organisation's subscription.
Content that you create within OnRounds (messages, handover notes, and similar) remains subject to your organisation's ownership and governance policies. Docworks does not claim ownership of user-generated clinical content.
8. Privacy
Your use of OnRounds is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using OnRounds, you acknowledge that you have read and understood our Privacy Policy.
9. Service Availability
We endeavour to maintain OnRounds in a reliable and available state. However, we do not guarantee uninterrupted or error-free operation of the platform. The service may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our reasonable control.
We will make reasonable efforts to provide advance notice of planned maintenance where practicable. OnRounds should not be used as the sole communication channel for time-critical clinical emergencies; organisations should maintain alternative communication pathways in accordance with their own business continuity plans.
10. Limitation of Liability
To the maximum extent permitted by Australian law, Docworks' total liability to you for any claims arising from or relating to your use of OnRounds is limited to the amount your organisation has paid to Docworks for the platform in the twelve months preceding the claim.
Docworks is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of clinical outcomes, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.
11. Indemnification
You agree to indemnify and hold Docworks harmless from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any applicable law or regulation.
12. Suspension and Termination
Your access to OnRounds may be suspended or terminated by your organisation's administrators at any time. Docworks may also suspend or terminate access to the platform if we reasonably believe that you have violated these Terms or if your organisation's subscription has lapsed.
Upon termination, your right to access OnRounds ceases immediately. Retained data is handled in accordance with our Privacy Policy and any applicable organisational agreement.
13. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page. Your continued use of OnRounds after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria for the resolution of any disputes arising from or relating to these Terms or your use of OnRounds.
